The Blackstone Group International Partners LLP

The Blackstone Group International Partners LLP (“BGIP”) is authorised and regulated by the Financial Conduct Authority in the United Kingdom. BGIP is an indirect subsidiary of The Blackstone Group L.P. (“Blackstone”), a publicly held U.S. investment and advisory firm. BGIP acts as a sub-advisor to its Blackstone US affiliates in relation to the investment and re-investment of EMEA based assets of Blackstone funds as well as arranging transactions to be entered into by or on behalf of Blackstone funds. BGIP also acts as a distributor of Blackstone funds in EMEA. BGIP has a Markets in Financial Instruments Directive (2007) (“MiFID”) cross-border passport to provide investment advisory services within the EEA. BGIP’s principal place of business is in London and it has a Representative Office in the Dubai International Financial Centre (“DIFC”) and in Paris.

GSO Capital Partners International Partners LLP (“GSO UK”) is authorised and regulated by the Financial Conduct Authority in the United Kingdom. GSO UK is an indirect subsidiary of Blackstone. GSO UK acts as a sub-advisor and sub-investment manager to its GSO US affiliates in relation to the investment and re-investment of EMEA based assets of GSO funds as well as arranging transactions to be entered into by or on behalf of GSO funds. GSO UK also acts as a discretionary investment manager for separately managed accounts as well as a distributor of GSO funds in EMEA. GSO UK has a MiFID cross-border passport to provide investment advisory services and investment management within the EEA. GSO UK’s principal place of business is in London with affiliate European entities located in Ireland.

GSO Capital Partners (UK) Limited (“GSO Limited”) is the managing member and majority owner of GSO UK. GSO Limited is a service company that provides administrative and office services to GSO UK and is also the employing entity.

Blackstone/GSO Debt Funds Management Europe Limited

Blackstone / GSO Debt Funds Management Europe Limited (“DFME”), is authorized as an investment firm under MiFID and regulated by the Central Bank of Ireland (“CBI”). DFME’s principal activity is the provision of management and advisory services to certain collateralized loan obligations and sub-advisory services to certain affiliates. DFME, its 100% subsidiary, Blackstone / GSO Debt Funds Management Europe II Limited (“DFME II”), and its EU parent financial holding company, Blackstone / GSO Debt Funds Europe (Luxembourg) s.à.r.l (together with DFME and DFME II, the “DFE Group”), are ultimately owned by Blackstone.

DFME II is an approved Alternative Investment Fund Manager under the European Alternative Investment Fund Managers Directive (the “AIFMD”). DFME II provides investment management functions including portfolio management, risk management, administration, marketing and related activities to its alternative investment funds in accordance with AIFMD and the conditions imposed by the CBI as set out in the CBI’s alternative investment fund rulebook.
